এই শর্তাবলী ("শর্তাবলী") Our Sathi ওয়েবসাইট, Our Sathi User, Our Sathi Partner, Our Sathi Shop এবং Our Sathi ecosystem-এর অধীনে পরিচালিত অন্যান্য ডিজিটাল সেবা ব্যবহারের ক্ষেত্রে প্রযোজ্য।
Our Sathi প্ল্যাটফর্ম ব্যবহার, অ্যাকাউন্ট তৈরি অথবা আমাদের কোনো সেবা গ্রহণের মাধ্যমে আপনি এই শর্তাবলী মেনে চলতে সম্মত হচ্ছেন। আপনি যদি এই শর্তাবলীর সাথে একমত না হন, তাহলে অনুগ্রহ করে সংশ্লিষ্ট সেবা ব্যবহার করবেন না।
১. Our Sathi সম্পর্কে
Our Sathi একটি সমন্বিত ডিজিটাল Super App Ecosystem, যার লক্ষ্য ব্যবহারকারী, সেবা প্রদানকারী, পরিবহন ও ডেলিভারি পার্টনার এবং ব্যবসা প্রতিষ্ঠানকে একটি ডিজিটাল প্ল্যাটফর্মের মাধ্যমে সংযুক্ত করা।
Our Sathi-এর মাধ্যমে বিভিন্ন ধরনের সেবা পাওয়া যেতে পারে, যার মধ্যে রয়েছে:
- Ride ও Transport
- Parcel ও Delivery
- Professional ও On-demand Services
- Shopping ও E-commerce
- Food ও Grocery
- Health-related Services
- Business Management
- এবং সময়ে সময়ে যুক্ত হওয়া অন্যান্য ডিজিটাল সেবা।
কিছু সেবা Our Sathi সরাসরি প্রযুক্তিগতভাবে পরিচালনা করতে পারে এবং কিছু সেবা স্বাধীন Partner, Service Provider, Shop, Merchant অথবা অন্যান্য Third Party-এর মাধ্যমে প্রদান করা হতে পারে।
২. Our Sathi Ecosystem
বর্তমানে Our Sathi ecosystem-এর প্রধান অ্যাপগুলো হলো:
Our Sathi User
সাধারণ ব্যবহারকারীদের জন্য, যেখান থেকে বিভিন্ন সেবা খোঁজা, বুকিং, অর্ডার এবং গ্রহণ করা যায়।
Our Sathi Partner
Driver, Rider, Delivery Partner এবং বিভিন্ন Professional Service Provider-এর জন্য, যারা Our Sathi-এর মাধ্যমে সেবা প্রদান ও আয়ের সুযোগ পেতে পারেন।
Our Sathi Shop
ব্যবসা প্রতিষ্ঠান, Shop, Restaurant এবং Merchant-দের জন্য, যারা পণ্য ও সেবা তালিকাভুক্ত, অর্ডার গ্রহণ এবং ব্যবসা পরিচালনা করতে পারেন।
৩. অ্যাকাউন্ট তৈরি ও ব্যবহার
Our Sathi-এর কিছু সেবা ব্যবহারের জন্য একটি Account তৈরি করতে হবে।
Account তৈরির সময় আপনাকে সঠিক, বর্তমান এবং সম্পূর্ণ তথ্য প্রদান করতে হবে।
আপনার Account, OTP, Password বা অন্যান্য Login Credential-এর নিরাপত্তা বজায় রাখা আপনার দায়িত্ব।
আপনার Account-এর মাধ্যমে সংঘটিত সন্দেহজনক বা অননুমোদিত কার্যকলাপ লক্ষ্য করলে দ্রুত Our Sathi Support-কে জানাতে হবে।
ভুল, মিথ্যা বা বিভ্রান্তিকর তথ্য দিয়ে Account তৈরি করা যাবে না।
৪. Our Sathi User-এর দায়িত্ব
Our Sathi User ব্যবহার করার সময় আপনি সম্মত হচ্ছেন যে:
- সেবা গ্রহণের জন্য সঠিক তথ্য প্রদান করবেন;
- Pickup, Destination এবং Delivery Address যথাসম্ভব সঠিকভাবে প্রদান করবেন;
- Partner, Driver, Shop এবং Service Provider-এর সাথে সম্মানজনক আচরণ করবেন;
- বেআইনি কাজে Our Sathi ব্যবহার করবেন না;
- ভুয়া Booking বা Order করবেন না;
- Platform, Partner বা Merchant-এর ক্ষতি করার উদ্দেশ্যে কোনো কার্যকলাপ করবেন না।
Repeated cancellation, fraudulent booking, abusive behavior অথবা platform misuse-এর ক্ষেত্রে Our Sathi প্রয়োজনীয় ব্যবস্থা নিতে পারে।
৫. Our Sathi Partner-এর শর্তাবলী
Our Sathi Partner হিসেবে নিবন্ধনের ক্ষেত্রে প্রয়োজন অনুযায়ী পরিচয়, পেশাগত যোগ্যতা, Driving Licence, Vehicle Information বা অন্যান্য Verification Document জমা দিতে হতে পারে।
Partner সম্মত হচ্ছেন যে তিনি:
- সঠিক ও বৈধ তথ্য প্রদান করবেন;
- প্রয়োজনীয় Licence ও অনুমোদন বজায় রাখবেন;
- পেশাদার ও নিরাপদভাবে সেবা প্রদান করবেন;
- গ্রাহকের সাথে সম্মানজনক আচরণ করবেন;
- প্রযোজ্য আইন ও নিরাপত্তা বিধি মেনে চলবেন;
- অন্য ব্যক্তিকে নিজের Account ব্যবহার করতে দেবেন না;
- Platform-এর Fare, Commission, Fee এবং অন্যান্য প্রযোজ্য নীতি অনুসরণ করবেন।
Our Sathi প্রয়োজন অনুযায়ী Partner Verification করতে এবং Account অনুমোদন, স্থগিত অথবা বাতিল করার অধিকার সংরক্ষণ করে।
৬. Our Sathi Shop-এর শর্তাবলী
Our Sathi Shop ব্যবহারকারী তার প্রতিষ্ঠানের পণ্য, মূল্য, Stock, Description এবং অন্যান্য তথ্য সঠিক রাখার জন্য দায়ী।
Shop বা Merchant-এর দায়িত্বের মধ্যে থাকতে পারে:
- বৈধ পণ্য ও সেবা বিক্রি করা;
- পণ্যের সঠিক তথ্য প্রদান;
- Order সময়মতো প্রস্তুত করা;
- প্রয়োজনীয় Licence ও ব্যবসায়িক অনুমোদন বজায় রাখা;
- Customer Service প্রদান;
- প্রযোজ্য Return, Refund এবং Warranty Policy অনুসরণ করা।
আইন দ্বারা নিষিদ্ধ, অবৈধ, নকল, বিপজ্জনক অথবা Our Sathi-এর নীতিমালা বিরোধী পণ্য তালিকাভুক্ত করা যাবে না।
৭. Ride ও Transport
Ride বা Transport Service-এর ক্ষেত্রে Fare বিভিন্ন বিষয়ের ওপর নির্ভর করতে পারে, যেমন:
- Distance
- Estimated Travel Time
- Vehicle Category
- Demand
- Waiting Time
- Toll বা অন্যান্য প্রযোজ্য Charge
Booking-এর আগে প্রদর্শিত Fare একটি Estimate হতে পারে। বাস্তব পরিস্থিতির কারণে Final Fare পরিবর্তিত হতে পারে, যদি সংশ্লিষ্ট সেবার নিয়মে তা অনুমোদিত থাকে।
Driver ও Passenger উভয়কেই প্রযোজ্য Traffic Law এবং Safety Requirements অনুসরণ করতে হবে।
৮. Parcel ও Delivery
Parcel পাঠানোর সময় Sender-কে Parcel-এর ধরন সম্পর্কে সঠিক তথ্য দিতে হবে।
নিষিদ্ধ, অবৈধ, বিপজ্জনক বা আইন দ্বারা সীমাবদ্ধ কোনো বস্তু Parcel হিসেবে পাঠানো যাবে না।
Sender নিশ্চিত করবেন যে Parcel যথাযথভাবে Pack করা হয়েছে এবং Receiver-এর নাম, ফোন নম্বর ও Delivery Address সঠিক।
প্রয়োজন অনুযায়ী Our Sathi বা Delivery Partner সন্দেহজনক বা নিষিদ্ধ Parcel গ্রহণে অস্বীকৃতি জানাতে পারে।
৯. Professional Services
Our Sathi-এর মাধ্যমে Doctor, Technician, Electrician, Plumber বা অন্যান্য Professional Service Provider-এর সাথে যোগাযোগ করা যেতে পারে।
Service Provider তার নিজের পেশাগত দক্ষতা, Licence, Qualification এবং প্রদত্ত সেবার জন্য দায়ী।
Our Sathi প্রয়োজন অনুযায়ী Verification করতে পারে, তবে কোনো Third-party Provider-এর প্রতিটি কার্যক্রমের সার্বক্ষণিক নিশ্চয়তা প্রদান করে না।
১০. Health-related Services
Our Sathi-এর Health-related Feature ব্যবহার করে পাওয়া সাধারণ তথ্যকে জরুরি চিকিৎসা অথবা Qualified Medical Professional-এর সরাসরি চিকিৎসা পরামর্শের বিকল্প হিসেবে বিবেচনা করা উচিত নয়।
চিকিৎসা সেবা প্রদানকারী ব্যক্তি বা প্রতিষ্ঠান তাদের নিজ নিজ Professional Service-এর জন্য দায়ী থাকবে।
জরুরি চিকিৎসা পরিস্থিতিতে ব্যবহারকারীদের উপযুক্ত Emergency Service বা Medical Facility-এর সহায়তা নিতে হবে।
১১. মূল্য, পেমেন্ট ও চার্জ
Our Sathi-এর বিভিন্ন সেবায় Cash, Cash on Delivery, Digital Payment অথবা সময়ে সময়ে অনুমোদিত অন্যান্য Payment Method ব্যবহার করা যেতে পারে।
কোনো Service Fee, Platform Fee, Commission, Subscription, Delivery Charge, Cancellation Charge বা অন্যান্য Charge প্রযোজ্য হলে তা সংশ্লিষ্ট সেবার নিয়ম অনুযায়ী নির্ধারিত হবে।
Our Sathi প্রয়োজন অনুযায়ী Fee ও Pricing Structure পরিবর্তন করতে পারে।
প্রযোজ্য ক্ষেত্রে ব্যবহারকারীকে লেনদেনের আগে সংশ্লিষ্ট মূল্য বা Charge দেখানো হতে পারে।
১২. Subscription ও Commission
Partner, Shop অথবা অন্যান্য Business User-এর ক্ষেত্রে Subscription, Commission অথবা অন্যান্য Platform Fee প্রযোজ্য হতে পারে।
এসব Fee Service Category, Campaign, Location অথবা Business Arrangement অনুযায়ী পরিবর্তিত হতে পারে।
অতএব, পুরনো Terms-এর মতো স্থায়ী BDT 99/month-কে এই Terms-এর অংশ হিসেবে নির্ধারণ করা হচ্ছে না।
প্রযোজ্য Fee ব্যবহারকারীকে সংশ্লিষ্ট App, Dashboard, Agreement অথবা অন্যান্য Official Communication-এর মাধ্যমে জানানো হবে।
১৩. Cancellation ও Refund
Ride, Order, Parcel, Booking বা অন্যান্য সেবা বাতিল করার ক্ষেত্রে সংশ্লিষ্ট Service-এর Cancellation Policy প্রযোজ্য হবে।
কিছু ক্ষেত্রে Cancellation Fee প্রযোজ্য হতে পারে।
Refund-এর যোগ্যতা Payment Method, Service Type এবং Cancellation-এর কারণের ওপর নির্ভর করতে পারে।
Approved Refund সম্পন্ন হতে Payment Provider-এর Processing Time অনুযায়ী অতিরিক্ত সময় লাগতে পারে।
১৪. Promotions, Coupons ও Referral
Our Sathi সময়ে সময়ে Coupon, Discount, Promotional Campaign, Referral Reward অথবা অন্যান্য সুবিধা দিতে পারে।
এসব সুবিধার:
- নির্দিষ্ট মেয়াদ থাকতে পারে;
- নির্দিষ্ট ব্যবহারকারীর জন্য প্রযোজ্য হতে পারে;
- নির্দিষ্ট Service বা Location-এ সীমাবদ্ধ থাকতে পারে;
- Cash হিসেবে Exchange করা নাও যেতে পারে।
Fraud, Multiple Account Abuse বা Promotion Misuse শনাক্ত হলে Our Sathi সংশ্লিষ্ট Reward বাতিল করতে পারে।
১৫. Rating, Review ও User Content
ব্যবহারকারী Partner, Shop বা Service সম্পর্কে Rating এবং Review দিতে পারেন।
Review অবশ্যই বাস্তব অভিজ্ঞতার ভিত্তিতে হতে হবে।
অশ্লীল, হুমকিমূলক, বিভ্রান্তিকর, ঘৃণামূলক, প্রতারণামূলক অথবা অন্যের অধিকার লঙ্ঘনকারী Content প্রকাশ করা যাবে না।
Our Sathi প্রয়োজন অনুযায়ী নীতিমালা লঙ্ঘনকারী Content অপসারণ করতে পারে।
১৬. নিষিদ্ধ ব্যবহার
Our Sathi ব্যবহার করে কোনো ব্যবহারকারী:
- প্রতারণা;
- পরিচয় জালিয়াতি;
- অবৈধ লেনদেন;
- Platform Manipulation;
- অন্য ব্যবহারকারীকে হয়রানি;
- System Hacking;
- Unauthorized Data Collection;
- Malware Distribution;
- Fake Order বা Booking;
- অথবা বাংলাদেশের আইনবিরোধী কার্যকলাপ
করতে পারবেন না।
১৭. Third-party Service
Our Sathi-এর কিছু সেবা Independent Partner, Merchant, Payment Provider, Cloud Service অথবা অন্যান্য Third Party-এর ওপর নির্ভর করতে পারে।
Third-party Service-এর নিজস্ব Terms এবং Privacy Policy প্রযোজ্য হতে পারে।
১৮. Platform Availability
আমরা Our Sathi-এর সেবা নিরবচ্ছিন্নভাবে চালু রাখার চেষ্টা করি।
তবে Maintenance, Server Failure, Internet Problem, Third-party Service Failure, Natural Disaster অথবা আমাদের নিয়ন্ত্রণের বাইরে অন্যান্য কারণে সেবা সাময়িকভাবে বন্ধ বা সীমিত হতে পারে।
আমরা Platform-এর শতভাগ নিরবচ্ছিন্ন বা Error-free Availability-এর নিশ্চয়তা প্রদান করি না।
১৯. Our Sathi-এর দায়সীমা
Our Sathi একটি Technology Platform এবং Marketplace হিসেবে বিভিন্ন ব্যবহারকারী ও Service Provider-কে সংযুক্ত করতে পারে।
প্রযোজ্য আইন যতটুকু অনুমতি দেয়, Independent Third-party Provider-এর কাজ, পণ্যের মান বা ব্যবহারকারীদের মধ্যকার ব্যক্তিগত বিরোধের জন্য Our Sathi-এর দায় সীমিত থাকবে।
তবে এই শর্তাবলীর কোনো কিছুই প্রযোজ্য আইন অনুযায়ী Our Sathi-এর এমন কোনো দায় বাদ দেবে না যা আইনগতভাবে বাদ দেওয়া যায় না।
২০. Account Suspension ও Termination
Our Sathi Account সাময়িকভাবে স্থগিত বা স্থায়ীভাবে বন্ধ করতে পারে যদি:
- Terms লঙ্ঘন করা হয়;
- Fraud শনাক্ত হয়;
- নিরাপত্তাজনিত ঝুঁকি তৈরি হয়;
- মিথ্যা Document প্রদান করা হয়;
- Platform-এর অপব্যবহার করা হয়;
- অন্য ব্যবহারকারীর নিরাপত্তা হুমকির মুখে পড়ে;
- আইনগতভাবে Account বন্ধ করা প্রয়োজন হয়।
২১. Intellectual Property
Our Sathi-এর নাম, Logo, Software, Application Design, Content, Trademark এবং অন্যান্য Intellectual Property প্রযোজ্য আইন দ্বারা সুরক্ষিত হতে পারে।
লিখিত অনুমতি ছাড়া এগুলো বাণিজ্যিক উদ্দেশ্যে Copy, Modify, Distribute বা ব্যবহার করা যাবে না।
২২. Privacy
ব্যক্তিগত তথ্য সংগ্রহ ও ব্যবহারের বিষয়টি Our Sathi Privacy Policy অনুযায়ী পরিচালিত হবে।
Our Sathi ব্যবহার করার মাধ্যমে ব্যবহারকারী সংশ্লিষ্ট Privacy Policy পর্যালোচনা ও গ্রহণ করার দায়িত্ব স্বীকার করেন।
২৩. শর্তাবলীর পরিবর্তন
Our Sathi সময়ে সময়ে Platform, Business Model, আইন অথবা Service-এর পরিবর্তনের কারণে এই Terms আপডেট করতে পারে।
গুরুত্বপূর্ণ পরিবর্তনের ক্ষেত্রে App, Website, Notification অথবা অন্যান্য উপযুক্ত মাধ্যমে ব্যবহারকারীদের জানানো হতে পারে।
২৪. প্রযোজ্য আইন ও বিচারব্যবস্থা
এই Terms বাংলাদেশের প্রযোজ্য আইন অনুযায়ী পরিচালিত ও ব্যাখ্যা করা হবে।
Our Sathi ব্যবহার সম্পর্কিত কোনো বিরোধের ক্ষেত্রে বাংলাদেশের উপযুক্ত আদালত ও বিচারব্যবস্থার আইন প্রযোজ্য হবে।

এই Terms, Account অথবা Our Sathi-এর কোনো Service সম্পর্কে প্রশ্ন থাকলে Our Sathi-এর Official Support Channel-এর মাধ্যমে যোগাযোগ করুন।

Welcome to Our Sathi.
These Terms and Conditions ("Terms") govern your access to and use of the Our Sathi website, Our Sathi User, Our Sathi Partner, Our Sathi Shop, and other products and services offered within the Our Sathi ecosystem.
By creating an account, accessing the platform, or using any Our Sathi service, you agree to these Terms.
1. About Our Sathi
Our Sathi is an integrated digital Super App Ecosystem designed to connect customers, service providers, transport and delivery partners, merchants, and businesses.
Services available through the ecosystem may include transportation, rides, parcel delivery, professional services, shopping, food and grocery, health-related services, business tools, and other services introduced from time to time.
Certain services may be facilitated through independent Partners, Merchants, Shops or other third-party providers.
2. Our Applications
The ecosystem currently includes:
Our Sathi User — for customers accessing and booking services.
Our Sathi Partner — for drivers, riders, delivery partners and professional service providers.
Our Sathi Shop — for merchants and businesses managing products, orders and business operations.
3. Accounts
Users must provide accurate, current and complete information when creating or maintaining an account.
You are responsible for protecting your account credentials, OTPs and other authentication information.
Accounts must not be created using false identities or misleading information.
4. User Responsibilities
Users must use Our Sathi lawfully and responsibly.
Users must provide accurate booking, pickup, destination, delivery and contact information and must not engage in fake bookings, fraudulent transactions, harassment, abuse or misuse of the platform.
5. Partner Responsibilities
Partners may be required to provide identity documents, licences, vehicle information, professional qualifications and other verification information.
Partners are responsible for maintaining required licences and permissions and providing services professionally, safely and lawfully.
6. Shop and Merchant Responsibilities
Merchants are responsible for the accuracy, legality, quality and availability of products or services they list.
Merchants must comply with applicable business, consumer protection and other legal requirements.
7. Transport Services
Ride fares may depend on distance, travel time, vehicle category, demand, waiting time, tolls and other applicable factors.
An estimated fare may differ from the final fare where permitted by the applicable service rules.
Drivers and passengers must comply with applicable safety and traffic requirements.
8. Parcel and Delivery
Senders are responsible for accurately describing and safely packaging parcels and providing correct recipient information.
Illegal, prohibited, dangerous or restricted items must not be sent through Our Sathi.
Our Sathi or its delivery partners may refuse suspicious or prohibited parcels.
9. Professional Services
Professional service providers are responsible for maintaining applicable qualifications, licences and professional standards.
Our Sathi may perform verification but cannot guarantee every action of an independent third-party provider.
10. Health-related Services
General health information available through Our Sathi should not be considered a substitute for emergency medical assistance or direct advice from an appropriately qualified medical professional.
Independent healthcare professionals remain responsible for the professional services they provide.
11. Pricing and Payments
Our Sathi may support cash, Cash on Delivery, digital payments and other approved payment methods.
Platform fees, service fees, commissions, subscriptions, delivery charges or cancellation fees may apply depending on the relevant service.
Pricing and fee structures may be changed from time to time.
12. Partner and Merchant Fees
Partners and Merchants may be subject to subscription fees, commissions or other platform charges.
Applicable fees may vary according to service category, location, campaign or commercial arrangement and will be communicated through the relevant application, dashboard, agreement or official communication.
13. Cancellation and Refunds
Cancellation and refund eligibility depends on the applicable service, payment method and circumstances.
Cancellation charges may apply in certain situations.
Approved refunds may require additional processing time depending on the payment provider.
14. Promotions and Referrals
Coupons, discounts, referral rewards and promotional offers may be subject to eligibility requirements, expiration dates, service limitations and additional conditions.
Our Sathi may cancel rewards obtained through fraud, duplicate accounts or promotional abuse.
15. Ratings, Reviews and Content
Reviews should reflect genuine experiences.
Users must not publish unlawful, abusive, fraudulent, threatening or rights-infringing content.
Our Sathi may remove content that violates applicable policies.
16. Prohibited Activities
Users must not use Our Sathi for fraud, identity theft, unlawful transactions, hacking, unauthorized data collection, malware distribution, fake bookings, platform manipulation, harassment or other unlawful activities.
17. Third-party Services
Certain features may rely on independent partners, merchants, payment processors, cloud providers and other third parties.
Additional terms or privacy policies of those providers may apply.
18. Service Availability
We aim to keep Our Sathi services available and reliable. However, uninterrupted or error-free operation cannot be guaranteed.
Services may be affected by maintenance, network failures, third-party outages or circumstances beyond our reasonable control.
19. Limitation of Liability
Our Sathi may act as a technology platform or marketplace connecting users with independent service providers.
To the extent permitted by applicable law, Our Sathi's responsibility for the acts of independent third parties, product quality or disputes between users and providers may be limited.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
20. Suspension and Termination
Accounts may be restricted, suspended or terminated for violations of these Terms, fraud, safety risks, false documentation, illegal activity or serious misuse of the platform.
21. Intellectual Property
Our Sathi's trademarks, logos, software, designs, content and other intellectual property may be protected by applicable law.
They may not be copied, modified, distributed or commercially exploited without appropriate authorization.
22. Privacy
Collection and use of personal information are governed by the Our Sathi Privacy Policy.
23. Changes to These Terms
We may update these Terms to reflect changes in our services, business model, technology or applicable requirements.
Significant changes may be communicated through the application, website, notification or another appropriate channel.
24. Governing Law
These Terms are governed by the applicable laws of Bangladesh.
Disputes relating to the use of Our Sathi will be subject to the jurisdiction of the appropriate courts of Bangladesh.
